End-User License Agreement for using Marigold

1. Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you and the person, business, or organization that provides the Marigold deployment you access ("Provider"). By creating an account, signing in, connecting financial accounts, importing data, or otherwise using Marigold, you agree to this Agreement.

If you use Marigold on behalf of an organization, you represent that you have authority to accept this Agreement for that organization.

2. The Service

Marigold is a personal finance dashboard for organizing accounts, transactions, budgets, fixed expenses, monthly checklist items, HSA statement data, paycheck import data, and related financial views. Marigold may include account connectivity, file import, categorization, transaction review, reporting, and other tools selected by the Provider.

3. License grant

Subject to this Agreement, the Provider grants you a limited, revocable, non-exclusive, non-transferable license to access and use Marigold for your personal or internal financial management purposes. You receive no ownership interest in Marigold, its software, or its underlying technology.

4. Accounts and eligibility

  • You must be at least 18 years old, or the age of majority where you live, to use Marigold unless the Provider expressly permits otherwise.
  • You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your login credentials.
  • You must promptly notify the Provider if you believe your account has been accessed without authorization.

5. Acceptable use

You agree not to:

  • Use Marigold for unlawful, fraudulent, harmful, or abusive activity.
  • Interfere with, disrupt, overload, probe, scan, or test the vulnerability of Marigold or related systems except with written permission.
  • Reverse engineer, decompile, copy, modify, resell, sublicense, or create derivative works from Marigold except as permitted by law.
  • Upload malicious code, misleading data, or content that violates another person's rights.
  • Share credentials, bypass access controls, scrape the Service, or use automated systems in a way that harms or burdens Marigold.

6. Financial information and no advice

Marigold helps you organize and view financial information. It does not provide banking, brokerage, lending, legal, tax, accounting, investment, insurance, or financial planning advice. Marigold is not a fiduciary and does not make decisions for you.

Financial data may be incomplete, delayed, duplicated, mislabeled, or inaccurate. You are responsible for verifying information before making financial, tax, investment, payment, or budgeting decisions.

7. Your data

You retain your rights in financial records, files, notes, categories, account details, and other content you provide to Marigold ("User Data"). You grant the Provider a limited license to host, process, transmit, display, copy, and use User Data as needed to provide, secure, troubleshoot, improve, and support Marigold.

You represent that you have the right to provide any User Data you upload, import, connect, or enter. You should avoid entering sensitive information that Marigold does not request or need.

8. Third-party services

Marigold may rely on third-party services such as Supabase for authentication and data storage, Plaid for financial account connectivity, hosting providers, analytics or monitoring tools, and your financial institutions. These services may have their own terms, privacy notices, availability, fees, limits, and data practices.

The Provider is not responsible for third-party services that it does not control. Your use of Plaid may be subject to Plaid's terms and privacy materials at plaid.com/legal.

9. Privacy

The Marigold Privacy Policy explains how personal information and financial data may be collected, used, shared, and retained. By using Marigold, you acknowledge that information will be handled as described in the Privacy Policy and any additional notices provided by the Provider.

10. Ownership and feedback

Marigold and its software, design, trademarks, documentation, and other materials are owned by the Provider or its licensors. If you provide feedback or suggestions, the Provider may use them without restriction or compensation to you.

11. Changes, suspension, and termination

The Provider may update, modify, suspend, or discontinue Marigold at any time. The Provider may suspend or terminate your access if you violate this Agreement, create security or legal risk, stop being authorized to use the Service, or if continued access is no longer feasible.

You may stop using Marigold at any time. Some provisions of this Agreement will survive termination, including ownership, disclaimers, limitations of liability, indemnity, and terms needed to resolve disputes.

12. Disclaimers

To the maximum extent permitted by law, Marigold is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. The Provider disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted or error-free operation.

13. Limitation of liability

To the maximum extent permitted by law, the Provider and its affiliates, vendors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, financial losses, or decisions made in reliance on Marigold.

To the maximum extent permitted by law, the Provider's total liability for all claims relating to Marigold or this Agreement will not exceed the greater of the amount you paid to use Marigold in the three months before the event giving rise to the claim or one hundred U.S. dollars (US $100).

14. Indemnity

You agree to defend, indemnify, and hold harmless the Provider and its affiliates, vendors, and licensors from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your User Data, your use of Marigold, your violation of this Agreement, or your violation of law or another person's rights.

15. Governing terms

This Agreement is governed by the laws that apply to the Provider and the Marigold deployment you access, without regard to conflict-of-law rules. If a court or arbitrator finds part of this Agreement unenforceable, the remaining provisions will remain in effect.

16. Changes to this Agreement

The Provider may update this Agreement from time to time. The updated version will be effective when posted unless a later effective date is stated. Your continued use of Marigold after an update means you accept the updated Agreement.
